Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using XBScribe (the “App”) or the XBScribe website (together, the “Services”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Services.

These Terms form an agreement between you and the service provider identified below. Mandatory consumer rights available under applicable law are not limited by these Terms.

2. The Services

XBScribe provides tools that may include live speech-to-text, floating captions, transcription of audio and video files, extraction of text from supported links, transcript editing, and related export or organization features.

• Features and supported formats may vary by device, operating system, app version, region, and store.
• Some features require microphone, media library, file, network, or other permissions that you control in system settings.
• We may improve, add, limit, suspend, or discontinue features where reasonably necessary, subject to applicable law.

3. Eligibility and Access

You must be legally capable of entering into these Terms. If you are under the age of legal majority where you live, a parent or legal guardian must review and agree to them and supervise your use.

The current version may not require an XBScribe account. You are responsible for your device, store account, network connection, and activity performed through them.

4. Your Content and Permissions

You retain your rights in audio, video, links, transcripts, and other material you provide to or create with the Services (“User Content”). You are responsible for User Content and for obtaining all permissions, notices, and consents required to record, upload, process, transcribe, edit, or share it.

Using XBScribe does not give you rights to third-party recordings, videos, websites, or other material. Link-to-text and import features may be used only for material that you own or are legally authorized to process.

5. Acceptable Use

You may not use the Services to:

• violate laws, court orders, privacy or publicity rights, intellectual property rights, or contractual obligations;
• record or monitor people without consent where consent is required;
• process or distribute unlawful, abusive, deceptive, harmful, or infringing content;
• circumvent access controls, rate limits, subscriptions, security, or technical restrictions;
• reverse engineer, disrupt, overload, probe, scrape, automate access to, or introduce malicious code into the Services, except where law expressly permits;
• resell, sublicense, or commercially exploit the Services without written permission.

6. Transcription Accuracy

Speech recognition and automated transcription can contain errors, omissions, delays, or incorrect speaker, punctuation, or language results. Accuracy depends on audio quality, accent, background noise, device, network, and source material.

Review important output before relying on, publishing, or sharing it. The Services are not a substitute for professional medical, legal, financial, safety, accessibility, or other expert services and should not be the sole basis for high-risk decisions.

7. Purchases, Subscriptions, and Promotions

XBScribe may offer free features, one-time purchases, subscriptions, trials, promotional access, or other entitlements. The price, duration, renewal terms, usage allowance, and included features shown in the App and applicable store at purchase form part of your transaction.

• Apple App Store or an Android app store processes store purchases and applies its payment, renewal, cancellation, and refund rules.
• A recurring subscription renews automatically unless cancelled through your store account before the renewal deadline shown by the store.
• Deleting the App does not cancel a subscription.
• Unless required by law, we cannot directly issue refunds for payments processed by a store; submit refund requests to that store.
• Promotional descriptions, including long-duration access statements, apply only to the version, features, eligibility conditions, and limits displayed with the offer. They do not guarantee that every feature or third-party service will remain unchanged for that period.

8. License and Intellectual Property

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Services for their intended purpose.

The Services, including their software, design, branding, text, graphics, and non-user content, are owned by us or our licensors and are protected by intellectual property laws.

9. Third-Party Services and Stores

The Services may interact with operating-system features, stores, websites, link sources, speech processing, analytics, customer support, or other third-party services. Third parties operate under their own terms and policies, and we do not control their availability, content, or decisions.

If these Terms conflict with mandatory rules of the store from which you obtained the App, those mandatory rules apply to the extent of the conflict.

10. Privacy

Our Privacy Policy explains how information is handled when you use XBScribe and the website. By using the Services, you acknowledge that you have read the Privacy Policy.

11. Changes, Suspension, and Termination

We may update the Services or these Terms for legal, security, operational, or product reasons. For material changes, we will provide notice where reasonably practicable, such as through the App or website.

You may stop using the Services at any time. We may restrict or terminate access when you materially breach these Terms, create legal or security risk, misuse the Services, or when a feature can no longer reasonably be provided.

12. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We do not guarantee uninterrupted availability, error-free output, perfect transcription, compatibility with every source, or permanent availability of third-party content.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, content, profits, revenue, or business opportunity arising from use of or inability to use the Services. Nothing excludes liability or remedies that cannot legally be excluded or limited.

13. Governing Law and Disputes

These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law rules, except where mandatory consumer law in your place of residence applies.

Please contact us first so we can try to resolve a dispute informally. If it cannot be resolved, it may be submitted to a court with lawful jurisdiction in Beijing, China, unless applicable law gives you the right to bring the claim elsewhere.

14. General Terms

If any provision is unenforceable, it will be limited or removed only to the minimum extent necessary and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, restructuring, asset transfer, or by operation of law, subject to applicable law.

These Terms, the Privacy Policy, and any purchase terms or feature notices presented to you are the entire agreement concerning the Services. Translations are provided for convenience. If versions conflict, the English version controls to the extent permitted by law, without limiting mandatory local consumer rights.
